These Terms of Service ("Terms") govern your access to and use of the website yellowtechnologies.tech and the services offered by Yellow Technologies LLC ("Yellow Technologies," "we," "us," or "our"). By accessing our website, purchasing a Service, or subscribing to a plan, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use our website or Services. Our Privacy Policy and Refund Policy are incorporated by reference.

1. Services

Yellow Technologies provides technology consulting and implementation services, including but not limited to: AI strategy and consulting, workflow automation, AI agent development, IT infrastructure setup, document processing, and RPA (robotic process automation) implementation ("Services"). Specific scope, deliverables, and pricing for project-based work are agreed upon separately prior to commencement.

2. Engagements and Scope

• Project-based engagements begin only after both parties agree in writing to the scope, timeline, and pricing.
• Monthly retainer subscriptions provide ongoing support as described on our Pricing page and are billed monthly until canceled.
• We reserve the right to decline or discontinue any engagement that falls outside our stated services or capacity.

3. Accounts and Acceptable Use

You agree not to:

• Share account credentials or attempt unauthorized access
• Use the website, portal, or deliverables for unlawful, fraudulent, or abusive purposes
• Interfere with site security, scrape content at scale without permission, or reverse engineer our proprietary tools except as allowed by law
• Upload malware or content that infringes others' rights

We may suspend access for violations of these Terms or for security risks.

4. Payment Terms

• Payments are processed through Stripe. By providing payment information, you authorize us to charge the applicable fees.
• Project-based work is billed in milestones: 30% at kickoff, 30% at prototype delivery, and 40% at final delivery, unless otherwise agreed in writing. Advance payment amounts selected at checkout may allocate funds across milestones in order.
• Monthly retainers are billed in advance and continue until canceled under Section 6.
• Fees are in U.S. dollars and exclusive of applicable taxes unless stated otherwise.
• Late or failed payments may result in suspension of work or access until payment is resolved.

5. Refunds

Refunds are governed by our Refund Policy. In general, milestone payments are non-refundable once associated work has been delivered, and retainer fees for the current period are non-refundable except as required by law.

6. Cancellation and Termination

• Retainer subscriptions may be canceled anytime by emailing billing@yellowtechnologies.tech or via the billing portal. Cancellation takes effect at the end of the current billing period.
• Project engagements may be canceled by either party with written notice. Fees for milestones completed or in progress remain payable.
• We may terminate an engagement for material breach, non-payment, or unlawful use after notice where practicable.

7. Client Responsibilities

You agree to:

• Provide accurate information necessary for us to perform the Services
• Grant timely access to systems, tools, or personnel required for the engagement
• Use deliverables in compliance with applicable law and third-party terms (APIs, cloud platforms, software licenses)
• Review and accept milestone deliverables in a timely manner

8. Intellectual Property

• Upon full payment for a project, custom deliverables created specifically for you are owned by you, excluding pre-existing tools, frameworks, or proprietary methods owned by Yellow Technologies, which remain our property and are licensed for use with the delivered Service.
• We retain the right to reuse general methodologies, know-how, and non-client-specific code or frameworks.

9. Confidentiality

Each party agrees to keep confidential non-public business, technical, or financial information disclosed by the other in connection with an engagement, and to use it solely for that engagement, except information that is public, independently developed, or required to be disclosed by law.

10. AI and Automation Disclaimer

Automation and AI-assisted systems can misclassify data, produce incorrect outputs, or behave unexpectedly when inputs change. You are responsible for appropriate human review, monitoring, and business controls for production use. We do not guarantee specific business outcomes, accuracy rates, or uninterrupted operation unless expressly stated in a written statement of work.

11. Disclaimers

Except as expressly stated in writing, Services are provided "as-is" and "as-available." We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law. Estimates and recommendations are informational and not guarantees.

12. Limitation of Liability

To the maximum extent permitted by law, Yellow Technologies' total liability for any claim arising out of these Terms or the Services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim in the twelve (12) months preceding the claim. We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.

13. Indemnification

You agree to indemnify and hold harmless Yellow Technologies from claims, damages, or expenses arising from your misuse of the Services, violation of these Terms, or violation of applicable law, except to the extent caused by our gross negligence or willful misconduct.

14. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, labor disputes, internet or cloud-provider outages, or government actions.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in Illinois, and both parties consent to that jurisdiction. Before filing a claim, the parties will attempt in good faith to resolve the dispute informally for 30 days after written notice.

16. Notices

Notices under these Terms may be sent by email to the addresses on file for your account, or to legal@yellowtechnologies.tech for notices to us, and are deemed given when sent if no bounce is received.

17. Changes to These Terms

We may update these Terms from time to time. Continued use of our website or Services after changes take effect constitutes acceptance of the revised Terms.
